Terms of Service
These terms govern the use of this website and Warpgate's document services. Sending us documents or starting a service means you accept them.

Who provides the service
The services are provided by Warpgate Pte. Ltd., a Singapore-incorporated company (UEN 201921421D) operating from Metro Manila, Philippines. The services are for businesses, not personal consumer use. Whoever engages us on behalf of a company represents that they are authorized to do so.
The services
Warpgate offers two services.
- Archive Conversion is a one-time, fixed-scope project. We convert an accepted document archive into an agreed spreadsheet or CSV. The price includes the sample assessment, output setup, processing, exception reporting, final reconciliation, and one correction round.
- The AI Employee is a monthly service. Client staff send documents and updates to a shared Telegram group, and we maintain them as exportable company records. Only service level one, expense and receipt processing, is currently available.
Every engagement starts with a representative sample. The sample determines the accepted scope and the fixed quote. Work outside the accepted scope needs written agreement before it is billed.
Payment
Current prices and volume bands are published on the pricing page. All prices exclude 12% VAT for Philippine clients.
- Archive Conversion is billed 50% before processing and 50% when the deliverables are ready.
- The AI Employee is billed monthly. The first month is free and there is no setup fee. There are no overage charges; a client who exceeds a volume band two months running moves up a band. Price changes take 30 days' written notice.
Your documents and our output
You own the documents you send us and the records we produce from them, including the delivered spreadsheets, CSVs, and maintained registers. You grant Warpgate the rights needed to receive, store, read, extract from, and process those documents to deliver the service, and nothing more. Warpgate keeps ownership of its own methods, tooling, and know-how.
Your responsibilities
When using the services, you agree to:
- send only documents you have the right to share, including any personal information they contain about your staff, customers, or suppliers;
- not send unlawful content, malware, or material unrelated to the agreed service;
- keep control of who in your company has access to the shared Telegram group; and
- review deliverables and report extraction mistakes within the correction window.
Accuracy and corrections
We check our output and report exceptions rather than guessing. Archive Conversion includes one correction round for extraction mistakes reported within ten business days of delivery. For the AI Employee, report mistakes as you find them and we correct the affected records. Our output supports your bookkeeping and decisions; it is not accounting, tax, or legal advice.
Cancellation and termination
The AI Employee is month to month. You can cancel at any time, the service ends at the close of the paid period, and export of your records remains available after cancellation. Warpgate may suspend or end a service on written notice if invoices go unpaid, if the acceptable-use rules above are broken, or if the law requires it. Provisions on payment, ownership, confidentiality, and liability survive termination.
Confidentiality
We treat client documents and records as confidential, use them only to deliver the service, and limit access to the people doing the work. Handling of personal information is described in the Privacy Policy. If a signed agreement with a client sets stricter terms, that agreement controls.
Liability
To the extent permitted by law, Warpgate's total liability arising out of a service is limited to the fees paid for that service in the three months before the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost business. These limits do not apply to payment obligations, breach of confidentiality, gross negligence, or willful misconduct.
Governing law
Unless a signed agreement says otherwise, these terms are governed by the laws of the Republic of the Philippines. The parties will first try to resolve any dispute through good-faith negotiation for 30 calendar days from written notice. Disputes not resolved in that period go to the competent courts of Metro Manila, Philippines.
Changes
We may update these terms as the services or the law change. The effective date above shows the current version. Material changes to an active monthly service take 30 days' notice.
